These Terms and Conditions ("Terms") govern your access to and use of our website, located at www.vertiqtraining.com, including our Learning Management System (LMS) and Customer Relationship Management (CRM) portal (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use our Platform or services.

1. Services Provided

VERTIQ Training Ltd provides vocational training and professional development specifically for the lift and elevator industry.

Our services include, but are not limited to:
- Lift Safety and Compliance training;
- Inspection and Maintenance programmes;
- Technical training for engineers and technicians;
- Tailored Employer Learning Programmes and workforce development solutions.

2. User Accounts and Registration

To access certain features of the Platform, including the LMS and training materials, you must register for an account.

Eligibility and authority: You must be at least 18 years old, or the age of legal majority in your country, to create an account, unless your employer or an authorised training coordinator creates an account for you as part of a workplace training programme. If you create or use an account on behalf of an organisation, you confirm you have authority to do so.

Accuracy: You agree to provide accurate, current, and complete information during the registration process and to keep it updated.

Security: You are responsible for safeguarding your password and for any activities or actions under your account. You must notify us immediately of any unauthorised use of your account. You must not share your login credentials or allow others to access your account, unless we expressly permit multi-user access under a separate written licence.

Account use: You must use the Platform in a professional and lawful manner. We may restrict, suspend, or terminate accounts that we reasonably believe are being misused or are in breach of these Terms.

CRM Integration: By creating an account, you acknowledge that your data will be stored within our integrated CRM system to manage your learning progress, certifications, and professional communications.

3. Website and Learning Management System (LMS) Use

The Platform includes our public website and an LMS. Your access to specific training modules is subject to the successful purchase of or enrolment in those programmes.

Access and availability: We aim to keep the Platform available and functioning, but we do not guarantee uninterrupted access. We may suspend, withdraw, or restrict availability of all or any part of the Platform for business, operational, security, or legal reasons.

Licence to use: We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and training materials for your personal professional development or internal business use, as applicable, in accordance with these Terms.

Technical requirements: You are responsible for ensuring you have compatible devices, software, and internet access.

Restrictions: You may not record, download unless expressly permitted, reproduce, redistribute, publish, sell, rent, sub-licence, or publicly display any content from the LMS without prior written consent from VERTIQ Training Ltd.

No sharing / seat limits: Unless we agree otherwise in writing, each enrolment is for a single user. You must not share course access, login credentials, or course materials with anyone else.

Assessments and integrity: Where courses include tests, assessments, or competency checks, you must complete them honestly. We may withhold certificates or invalidate results where we reasonably suspect misconduct or impersonation.

4. Intellectual Property Rights

All content, materials, and software on the Platform, including but not limited to text, graphics, logos, training manuals, video modules, and code, are the intellectual property of VERTIQ Training Ltd or its licensors. These works are protected by copyright, trademark, and other intellectual property laws.

5. Course Enrolment, Fees and Payments

Enrolment: Course enrolment occurs when:
(a) you complete the checkout process, or we confirm enrolment in writing for invoice/corporate bookings; and
(b) payment is received, unless we agree invoice terms in writing.

We may refuse or cancel enrolment where we reasonably believe an enrolment is fraudulent, made in error, or breaches these Terms.

Pricing: All fees for training programmes are displayed on the Platform or provided in specific corporate proposals. Prices are shown in GBP unless stated otherwise and may be subject to VAT or other applicable taxes, which will be shown at checkout or on the invoice where applicable.

Payment Terms: Access to LMS modules is granted only upon receipt of full payment unless otherwise agreed in writing. If you purchase on behalf of a business, you confirm you have authority to bind that business.

Payment Processing: We may use third-party payment processors. You must ensure your payment details are accurate and you have permission to use the chosen payment method. We are not responsible for delays caused by payment providers or banks.

Invoices, where agreed: If we agree to invoice you, you must pay invoices within the timeframe stated on the invoice. If payment is late, we may suspend access to the LMS until payment is received and may charge statutory interest and recovery costs where applicable.

6. Acceptable Use

You agree not to use the Platform for any unlawful purpose or any purpose prohibited under this clause. You agree not to use the Platform in any way that could damage the Platform, services, or general business of VERTIQ Training Ltd.

You shall not attempt to reverse-engineer or extract data from the CRM or LMS components.

You shall not use the Platform to distribute "spam" or other unsolicited commercial communications.

7. CRM Data Storage & Handling, and Privacy

Your use of the Platform involves the processing of personal data. VERTIQ Training Ltd is committed to protecting your privacy. Data stored within our CRM and LMS is handled in accordance with our Privacy Policy and relevant data protection legislation, including the UK GDPR and the Data Protection Act 2018.

What we store in our CRM/LMS: We may store information such as your name, contact details, employer/company where relevant, account login details, course enrolments, progress, assessment results, certifications/records of completion, communications with us, and related administrative information.

Why we store it: We use CRM/LMS data to:
(a) create and manage your user account;
(b) provide course access and learning services;
(c) administer assessments and issue certificates where applicable;
(d) provide customer support;
(e) manage payments, invoices, and refunds where applicable;
(f) send essential service messages, for example, enrolment confirmations, course updates, and system notices; and
(g) where permitted, send marketing communications, which you can opt out of at any time.

Who can access it: Access is restricted to authorised personnel and service providers who need access to perform their role, for example, platform hosting and support. We apply reasonable technical and organisational measures to protect data.

Sharing and third parties: We may share necessary information with third-party service providers that help us operate the Platform, for example, LMS hosting, CRM systems, email delivery, analytics, and payment processing. Where required, we use appropriate contractual safeguards.

Data retention: We retain personal data only for as long as necessary for the purposes described above, including to maintain training records and to meet legal, regulatory, and contractual requirements.

8. Professional Disclaimer

The training provided by VERTIQ Training Ltd is designed to bridge the gap between foundational knowledge and field expertise. However:

- Completion of a course does not automatically confer legal certification or licence to practise unless explicitly stated.
- Vertical transportation involves high-risk environments. The Platform provides educational guidance, but field application remains the responsibility of the individual technician and their employer.
- We do not warrant that the training content will meet every specific local regulatory requirement in all jurisdictions.

9. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

Subject to the paragraph above, to the maximum extent permitted by law, VERTIQ Training Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

- Your access to or use of, or inability to access or use, the Platform;
- Any technical failure or errors in the LMS or CRM;
- Any loss or damage caused by viruses, distributed denial-of-service attacks, or other harmful material that may affect your equipment or data due to your use of the Platform; or
- Any conduct or content of any third party on the Platform.

Reasonable skill and care: Where you are a consumer, we will provide the Platform and any digital services with reasonable skill and care.

Total liability cap, business users: If you are using the Platform as a business user, our total aggregate liability arising out of or in connection with the Platform and/or these Terms, whether in contract, tort including negligence, breach of statutory duty, or otherwise, shall be limited to the total fees paid by you to us for the relevant course(s) in the 12 months immediately preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless VERTIQ Training Ltd and its directors, officers, and employees from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Platform or your violation of these Terms.

11. Cancellation, Refunds and Termination

11.1 Cancellation and refunds, individual bookings

Digital content acknowledgement: Where a course includes digital content delivered via the LMS, you may be asked at checkout to:
(a) request immediate access; and
(b) acknowledge that you may lose any statutory right to cancel once content access begins, to the extent permitted by applicable law.

Before access begins: If you have not accessed or started the digital content, you may be eligible to cancel and receive a refund in accordance with your statutory rights and any cancellation window shown at checkout, if applicable.

After access begins: Due to the digital nature of our training content, refunds are generally not provided once a module has been accessed or started, subject to your statutory rights under applicable consumer law.

Live/virtual sessions, if included: If your purchase includes instructor-led training, whether virtual or in-person, any cancellation, rescheduling, or substitution rules will be shown at checkout or confirmed in writing. Where those rules conflict with this clause, the written booking terms will apply.

How to request a cancellation/refund: Contact us using the details in Section 14 with your order details and the email used to enrol.

11.2 Corporate / employer bookings

For employer learning programmes, bulk licences, or invoiced/corporate bookings, cancellation and refund terms will be as agreed in the proposal, statement of work, booking confirmation, or other written agreement. If there is no written agreement, we may allow cancellation at our discretion and may charge for work already performed and licences already issued.

11.3 Termination and suspension

We reserve the right to terminate or suspend your account and access to the LMS/CRM immediately, without prior notice or liability, for any reason, including if you breach these Terms. Where reasonably practicable, we may provide notice and an opportunity to remedy a breach. Termination does not affect any rights or obligations accrued prior to termination, including payment obligations.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any significant changes by posting the new Terms on this page and updating the "Last Updated" date.
